The AVP, Legal will join the in-house legal team supporting ADDX's MAS-regulated capital markets platform. Reporting to the VP, Legal, the role covers a broad remit across commercial, regulatory, corporate and transactional matters. The successful candidate will work in a collaborative environment with direct exposure to senior management and the autonomy to run matters independently, supported by active mentorship from the VP, Legal.
Key Responsibilities:
- Draft, review and negotiate a broad range of commercial agreements, including platform issuance documentation, service and partnership agreements, NDAs and vendor contracts.
- Support platform product launches and token issuances, working with the business, compliance and external counsel to structure offerings and prepare associated legal documentation.
- Advise on day-to-day legal and regulatory queries across the group, including questions arising under the SFA, FAA, PSA and applicable MAS notices and guidelines.
- Maintain and update platform-facing legal documentation, including terms and conditions, listing and exchange rules, privacy policy and related materials.
- Support corporate transactional work, including fundraising, M&A and internal restructurings, and manage external counsel and associated budgets.
- Contribute to corporate secretarial, data protection, IP and employment matters as part of a generalist in-house remit.
Key Deliverables:
- Clean first drafts of commercial agreements and platform documentation produced with limited supervision.
- Timely and actionable regulatory and legal advice to business and compliance teams.
- Up-to-date platform-facing legal documentation (T&Cs, listing rules, privacy policy).
- Effective management of external counsel relationships and associated legal budgets.
- Contribution to corporate transactions and secretarial matters as required.
Requirements:
Education Level: LLB or equivalent; admitted to the Bar in a Commonwealth jurisdiction.
Years of Relevant Experience: 2–4years PQE (post-qualification experience), gained at a reputable law firm or in-house legal team. Outstanding candidates outside this range will also be considered.
Skills, Knowledge and/or Certifications:
- Strong drafting and negotiation skills, with ability to produce clean first drafts and manage matters with limited supervision.
- Sound commercial and regulatory judgement; ability to give clear, actionable advice under time pressure.
- Confident stakeholder manager, comfortable engaging with senior business leaders, compliance, product and external counsel.
- Pragmatic, collaborative and adaptable, with willingness to take ownership across a broad range of matters.
- Experience in financial services regulation, capital markets, funds or fintech is a plus, but not required.
