Role Overview
We are seeking a Junior Legal Associate to support a strategic M&A project involving a licensed and regulated player in the financial services industry.
Working closely with the Company Secretary and internal stakeholders, the role will provide support across legal, corporate governance and transaction-related workstreams, including Board and Committee matters, regulatory requirements, documentation and project coordination.
This is a good opportunity for a junior legal professional to gain hands-on exposure to a major transaction within a highly regulated financial services environment, while working with experienced legal, governance and business stakeholders.
Key Responsibilities:
- Support the Company Secretary in the planning and execution of the M&A project, including governance requirements, documentation and key project milestones.
- Assist with transaction-related legal and corporate governance matters, including Board and Committee approvals, resolutions, delegations of authority and related documentation.
- Prepare, review and coordinate corporate secretarial and governance documentation.
- Support director appointments, onboarding and induction, including any changes arising from the transaction.
- Assist with monitoring and ensuring compliance with Singapore company law, applicable regulatory requirements and internal governance policies.
- Coordinate with internal stakeholders including Legal, Compliance, Risk, Finance, HR and Internal Audit, as well as external legal advisers and other relevant parties.
- Track project actions, deliverables and timelines across different workstreams and follow up with stakeholders to ensure timely completion.
- Assist with research, preparation of materials and other ad hoc legal and governance matters relating to the project.
- Support ongoing process improvements and administrative efficiencies within the governance function.
Requirements
- Law degree and/or legally qualified with approximately 1–2 years of relevant legal experience.
- Fresh graduates with relevant legal training who have a strong interest in corporate, regulatory or financial services law are welcome to apply.
- Lawyers who have taken a career break and are looking to return to the workforce are also encouraged to apply.
- Prior experience in banking, insurance or other regulated financial services would be advantageous.
- Exposure to M&A, corporate transactions, restructuring, business transfers or other major projects would be an advantage.
- Some exposure to corporate governance, company secretarial or Board/Committee matters would be beneficial.
